1) Accepting these Terms

By using this website or engaging AI4A for services, you agree to these Terms.

2) Services

We provide AI‑driven automations for small businesses (e.g., DM replies, phone scheduling, website chat). Specific scopes, deliverables, and pricing are documented in proposals or statements of work.

3) Your Responsibilities

• Provide timely information, access, and approvals.
• Use the services in compliance with applicable laws (including consent for messaging/recording where required).
• Maintain accounts and credentials you own (e.g., social, telephony, email).

4) Third‑Party Tools

Our solutions may integrate with third‑party services (e.g., email, telephony, social). Each third party’s terms and privacy policy apply to its services.

5) Payment

Invoices are due as stated on the invoice. Late payments may pause services. Fees are exclusive of taxes unless noted.

6) Confidentiality

Both parties will protect confidential information disclosed for the project and use it only for the project.

7) Intellectual Property

You retain rights to your content and data. Upon full payment, you receive a license to use deliverables for your business. Our internal methods, know‑how, and pre‑existing materials remain ours.

8) Warranties & Disclaimers

Services are provided “as is.” We do not warrant uninterrupted or error‑free operation. To the fullest extent permitted by law, we disclaim implied warranties.

9) Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the fees paid for the service giving rise to the claim in the 3 months before the event.

10) Indemnity

You agree to indemnify and hold AI4A harmless from claims arising out of your misuse of the services or violation of these Terms or applicable law.

11) Termination

Either party may terminate for material breach not cured within 10 days of notice, or for convenience on 30 days’ notice. Upon termination, you’ll pay for work performed and we’ll assist with a reasonable transition.

12) Governing Law

These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-laws principles. Courts located in Clark County, Nevada, will have exclusive jurisdiction.

13) Changes

We may update these Terms from time to time. Continued use after changes means you accept the revised Terms.
